National Assembly Greenlights Tougher Changes to Commercial Act

The National Assembly has passed another bill to amend the Commercial Act, with the ruling Democratic Party leading its approval despite strong opposition from the People Power Party(PPP).

The bill passed during a plenary session Monday, with 180 of the 182 lawmakers present voting in favor, and two abstentions.

Although the PPP had launched a filibuster to block the bill's passage, the ruling party and minor opposition parties succeeded in ending the effort after 24 hours, leading the PPP to boycott the vote.

Once the amendments take effect, listed companies with assets exceeding two trillion won, or about one-point-44 billion U.S. dollars, will be required to adopt cumulative voting and to increase the number of audit committee members who are elected separately.

The latest move follows the parliamentary approval in July of other changes to the Commercial Act that expanded corporate directors’ fiduciary duties to shareholders.
